These terms govern use of Schema Theory and the Reader. They are written for businesses, set out how we access and analyse the digital surfaces you connect, and define who owns the data and models the service produces.
who we are
The service is operated by Mikhail Galustov, an entrepreneur individuel (micro-entreprise) registered in France under SIREN 994620201 (APE 7420Z), professional address 173 rue de Courcelles, 75017 Paris, trading as Schema Theory (“Schema Theory”, “we”). By using the service, creating an account, or running an audit, you accept these terms. If Schema Theory is later incorporated, these terms will be updated to name the successor entity.
business use only
The service is offered to businesses and professionals acting within their trade or profession. It is not directed at consumers.
access and authorisation to scan
You authorise and instruct us to access, crawl, fetch, screenshot, monitor, measure and analyse any domain, website, DNS or email configuration, or other digital surface you own, control, or submit, and any third-party account you connect (for example Search Console, Analytics, Ads, Shopify, Stripe). This includes recurring and automated monitoring. You warrant you are authorised to grant that access and to route any data you connect, and to obtain any consents your own users require.
free audit
By submitting a domain you confirm you may request its analysis, or that it is publicly accessible business information. Free outputs are provided for evaluation, without warranty.
fees
Paid plans and retainers are billed at the rates shown at sign-up. The founding rate of €2,200/month, where offered, is locked for the life of a continuous engagement; the standard rate is €4,500/month thereafter. We currently benefit from the VAT franchise en base (art. 293 B CGI) and do not charge French VAT. Subscriptions run for a twelve-month default term and renew automatically unless either party gives 30 days’ written notice before the term ends.
data rights and ownership
You keep ownership of the data you submit. You grant us a worldwide, royalty-free, sub-licensable licence to host, process, analyse, and create derivative works from that data and from the data we observe, in order to operate, secure and improve the service and to develop, benchmark and train our rubrics, scoring engines, embeddings, corpus, and AI models.
We own all data we generate or derive from the service — scores, insights, embeddings, benchmarks, aggregated and anonymised data, the corpus, and any model trained or improved using them. By default we anonymise or aggregate before using data to develop models, and we do not train on identifiable personal data inside your connected properties except on your instruction or after anonymisation. Anonymised and aggregated data is no longer personal data and may be retained and used indefinitely, including after your account closes. deliverables
Subject to payment and to our retained rights above, we license the briefs, fixes and deployable assets we deliver to you for your internal business use. Campaigns and rebuilds stay usable by your team.
your responsibilities
You will not use the service unlawfully, submit properties you are not authorised to submit, interfere with its security, or use outputs to build a competing audit product.
warranties and liability
The service is provided “as is”. We do not warrant any particular ranking, visibility, traffic, or commercial outcome. To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, and our total aggregate liability is capped at the fees you paid in the twelve months before the event giving rise to liability. Nothing limits liability that cannot be limited under French law.
term and termination
Either party may terminate for material breach not cured within 30 days. On termination your access ends and outstanding fees fall due. Our rights to retain and use service data, derived data, aggregated and anonymised data, the corpus, and trained models survive termination.
changes
We may update these terms and will give reasonable notice of material changes to paying customers. Continued use after the effective date is acceptance.
governing law
These terms are governed by French law. The courts within the jurisdiction of the Cour d’appel de Paris have exclusive jurisdiction, to the extent permitted for business parties. Questions: [email protected].
